PRINCE2.org (hereafter referred to as the “company”, “PRINCE2.org”, “we”, “us”, and “our”) provides www.prince2.org. We encourage prospective clients to read PRINCE2.org's terms and conditions before making any purchases.

his Course Agreement ("Agreement") is entered into between PRINCE2.org, address of 169 Great Portland Street, 5th Floor, London, W1W 5PF hereafter referred to as "Course Provider," and you, the participant in the Course as defined below.

This Agreement encompasses all components and subcomponents referenced herein and governs your use of all materials and services associated with the Course and the Course Provider's website (collectively referred to as "Course").

Article 1 - Definitions

(A) The parties to this Agreement are defined as follows:

  • Course Provider:Refers to Prince2.org, the creator, operator, and publisher of the Course, including its employees and affiliates.
  • You/Participant:Refers to you, the user engaged in the Course, addressed throughout this Agreement using second-person pronouns.
  • Parties:Collectively refers to the Course Provider and you.

(B) Additional definitions:

  • Classroom Course:In-person instruction led by an instructor using a structured lesson plan.
  • Course Fee:The fee for any Course or product, excluding delivery charges, taxes, and customs duties.
  • Course Materials:Materials provided during any Online Course, including Online Study Materials and Physical Study Materials.
  • Live Online Course (Virtual Classroom): Virtual instruction conducted in real time by an instructor.
  • Online Self-study Course:Any course available on the website, accessible at any time with provided login credentials.
  • Online Study Materials:Electronic materials available for download or viewing on the website.
  • Physical Study Materials:Electronic materials available for download or viewing on the website.
  • Website:Refers to www.prince2.org or any other domain operated by Aspirex Ltd.

Article 2 - Assent & Acceptance

By purchasing or participating in the Course, you confirm that you have read and understood this Agreement and agree to its terms. If you do not agree, please stop your participation immediately. Refunds are only available under the conditions outlined in our refund policy.

Article 3 - License to Use Website & Access Course Materials

Upon accessing the Course through the Website, you may receive various materials. We grant you a non-exclusive, limited, non-transferable, and revocable license to use these materials solely for your participation in the Course. This license will end when you complete the Course, cease use of the Course or Website, or if this Agreement is terminated.

Article 4 - Course Terms

The Course does not have a set start date, allowing you to begin at your convenience, except for Classroom, Live Online Courses (Virtual classroom) and Onsite Training. The Course will expire after the duration specified on the course page, or 12 months if no duration is indicated. Sharing the Course or its materials is prohibited; violation may result in immediate termination of access.

You acknowledge and accept:

  • You are solely responsible for your choices related to the Course.
  • You are accountable for your mental and physical health, as well as any business decisions.
  • We are not liable for any outcomes resulting from your participation.
  • We do not provide medical or therapeutic services.

Article 5 - Intellectual Property

All materials, the Course, the Website, and related services are the property of the Course Provider, protected by intellectual property laws. You agree not to use or reproduce these materials without express written consent.

Article 6 - Content You Post

While participating in the Course, you may post materials ("User Contributions"). By posting, you grant the Course Provider a royalty-free, non-exclusive license to use these contributions. You must comply with our "Acceptable Use" provisions and not infringe on others' intellectual property rights.

Article 7 - Your Obligations

As a participant, you will register with us and provide accurate identifying information, including a user ID and password. You are responsible for the confidentiality of this information and must notify us if it is compromised. Billing information must also be accurate, and providing false information may lead to termination of this Agreement.

You are required to submit course-specific information, such as your name and identification proof, by the deadlines communicated to you.

Article 8 - Payment & Fees

8.1 Prices:

  • All pricing quotations are valid for 7 days from the date they are first sent to the client. Prices are subject to change due to the dynamic nature of our business and the training industry.
  • Published prices exclude VAT. Clients and companies must pay PRINCE2.org any VAT that is chargeable on provided services. PRINCE2.org will include the correct VAT amount on the invoice as required by statute.
  • Published prices do not cover travel, accommodation, or living expenses unless specifically mentioned in the Booking Form.
  • VAT is payable regardless of the Client’s country of origin; the point of supply for VAT purposes is the location of the course. For E-learning courses, VAT is charged based on the place of supply and relevant tax legislation.
  • If a third-party vendor or certification body adjusts their examination fees or material costs, PRINCE2.org reserves the right to adjust course prices accordingly.
  • Course prices listed in brochures, correspondence, or other materials from PRINCE2.org are not legally binding due to anticipated price fluctuations.

8.2 Payments:

  • Course fees are payable in full immediately upon receiving the invoice. Clients making payments from non-UK accounts or credit cards must cover all associated bank charges.
  • Late payments will incur an 8% charge over the Bank of England base rate. Payments can be made via major credit and debit cards, including American Express, with respective surcharges.
  • Where a Purchase Order is issued, it must include the purchase order number, course dates, full invoice amount, and invoicing contact details.
  • PRINCE2.org reserves the right to deny entry to a training event until the course fee is fully paid. Certificates and exam results will not be issued until full payment is received.

Unless stated otherwise for a specific product, the Course Fee can be paid in one of the following ways:

  • (a) A single upfront payment made at the time of purchase; or
  • (b) In instalments, with payments scheduled over a specified period, as detailed on the Website, in a Brochure, or communicated by a Prince2.org customer service representative. The first instalment (Initial Payment) is due with your purchase offer, and subsequent payments will be due on agreed dates.

8.3 Instalment Plans :

If you opt to pay the Course Fee in instalments as per Article 8(b), you agree to the following:

  • You are responsible for setting up a GoCardless account via the link provided by our customer support or creating the plan independently.
  • You must ensure that all instalment payments are made on their due dates.
  • Prince2.org is authorized to collect payments from your GoCardless account (or another agreed method) when due.
  • The initial payment must be received in the Course Provider's account for you to access the course.
  • Exam vouchers will be issued only after the completion of the instalment plan.
  • You must notify us via email at info@prince2.orgof any changes to your linked bank account or if there are insufficient funds prior to a payment due date.
  • Failure to make a scheduled payment constitutes a breach of this Agreement, which may result in:
    • (i) Losing the right to pay by instalments, with all outstanding amounts becoming immediately due; and
    • (ii) Suspension or cancellation of your access to the Online Course until all remaining payments are made in full. Note that if action is taken under Article 8.1(d)(ii), you will not be eligible for a refund of any amounts already paid.

8.4 Availability of Instalment Plans :

The option to pay in instalments is subject to availability and at the sole discretion of Prince2.org. We may withdraw this option at any time, but this will not affect those already enrolled and paying by instalments at that time.

8.5 Payment Amounts :

The total amount paid for any Online Course may vary based on whether the Course Fee is paid as a lump sum or in instalments.

8.6 Accepted Payment Methods :

For a one-off payment, you may pay via:

  • PayPal
  • Credit cards (Visa, MasterCard, American Express) or debit cards
  • Bank transfer (to be arranged directly with us via phone or email)
  • Direct Debit

For instalment payments, the initial payment will only be accepted as specified at the checkout or communicated by customer service.

8.7 Incorrect Course Fee Notification

If your purchase offer is accepted and the displayed Course Fee is incorrect, Prince2.org will notify you promptly. If the correct fee is higher, you may choose to continue with your order at the new price or cancel for a full refund. If the correct fee is lower, we will refund the difference.

8.8 Retake Exam Fee

If you do not pass your exam on the first attempt, you may retake it after paying a Retake Fee. The Take2 option allows for a second attempt for selected exams and is non-transferable and non-refundable. It must be scheduled within six months of the initial attempt and cannot be purchased after a failed exam.

8.9 Ordering Printed Certificates

E-certificates will be issued free of charge. Printed certificates can be ordered for a fee via the link on our website.

Reordering Printed Certificates

You may need to reorder a printed certificate under the following circumstances:

  • Lost in Transit: If your certificate is lost during delivery or after receipt, a Reorder Certificate Fee will apply.
  • Delivery Failure Due to Incorrect Address:If the address you provided is incorrect, a reordering fee will apply. If the error is on our end, no additional fee will be charged.
  • Damaged in Transit:We are not liable for damages incurred during transit. We ensure certificates are sent securely.
  • Errors on Certificate:If an error is reported within three months of issuance and it was our fault, we will reissue at no cost. If the error was due to incorrect information provided by you, a fee will apply. Reordering takes 2 to 4 weeks after verification.

Article 9 - Cancellations & Refunds

Under UK law, you may have the right to cancel your order and request a refund under certain conditions.

9.1 Online Self-Study Courses

  • All refund requests must be made within 14 days of purchase.
  • To be eligible for a refund, you must not have accessed the course materials, unless due to technical issues.
  • Significant quality or technical issues must be supported by evidence for consideration of a full or partial refund.
  • All refund requests should be directed to info@prince2.org or sent to our registered office within the 14-day period.
  • We will respond to your request within 3-5 working days. If approved, the refund will be processed; if denied, we will provide a reason.
  • If you do not meet entry requirements, your application will be declined, and the course access fee will be deducted from your refund.
  • A 10% processing fee may be applied to refunds at Prince2.org’s discretion.
  • For refunds to non-UK bank accounts, either a 10% fee or applicable bank charges will be deducted.
  • Website downtime or technical issues will not be eligible for refunds.
  • Certificate delivery delays are not grounds for refunds.
  • Approved refunds will be processed within 28 days.
  • No refunds will be issued for unsuccessful exam results

9.2 Classroom, Virtual Classroom and Onsite Training

1. Cancellations by PRINCE2.org:

  • PRINCE2.org has the right to cancel, reschedule, or relocate a training event if there are circumstances beyond their control, such as trainer illness or insufficient enrolment (low attendance). These are unexpected events that would prevent the smooth operation of the course.
  • Efforts to Notify Clients: The company commits to informing clients of any changes as soon as possible, using reasonable communication channels (email, phone, etc.). While clients may experience inconvenience, PRINCE2.org ensures they are not left in the dark about the status of their course.

2. Client Cancellations:

Clients are required to cancel courses in writing or via email to PRINCE2.org. A clear cancellation policy is outlined, with fees imposed depending on how soon the cancellation occurs before the course starts. The closer the cancellation is to the start date, the higher the fee.

  • 0-14 days prior: The client is charged the full course fee (100% + VAT). This is the strictest penalty, as the company might find it difficult to fill the spot or cover costs close to the event.
  • 15-21 days prior: The client will be charged 75% (+VAT) of the course fee, reflecting that cancellation at this point still results in significant costs to the company.
  • 22-28 days prior: The fee is reduced to 25% (+VAT), acknowledging that PRINCE2.org may still have time to mitigate losses from the cancellation by finding another attendee or rearranging resources.

3. Rescheduling Courses or Exams:

  • Rescheduling with less than 14 days' notice: A charge of 75% of the full course fee is applied if the client reschedules within this tight window. This fee reflects the difficulty of rearranging resources on short notice.
  • 15-21 days' notice: Clients who reschedule within this period will incur a 50% fee. Although this provides more time, there is still a significant impact on PRINCE2.org’s planning.
  • 22-28 days' notice: Clients rescheduling during this period are charged 25% of the fee, as there is more flexibility and less cost involved in the change.

This rescheduling policy encourages clients to make changes as early as possible to minimize disruption to both their own plans and the company's operations.

4. Refunds:

  • Refunds, if applicable, may take up to 28 Calander days to be processed. Refunds are returned using the same payment method used for the original transaction.
  • Deposits and banking fees are non-refundable. This means any upfront payments made to secure the booking and fees associated with international banking (such as currency conversion costs or bank transfer fees) cannot be recovered.
  • PRINCE2.org is not responsible for exchange rate fluctuations or additional banking fees, meaning if a refund is less than the original amount due to changes in currency value or bank charges, the client bears that loss.

5. Changes to Courses:

  • PRINCE2.org reserves the right to make changes to the content, format, or scheduling of courses due to unforeseen circumstances (e.g., changes in the venue, availability of trainers). Clients will be informed of such changes as soon as they are known.
  • If changes are significant and not acceptable to the client, alternative arrangements (like moving the client to a different session) or a refund may be offered. This ensures flexibility but also protects the company's ability to adapt to changing conditions.

6. Course Printed Materials:

  • PRINCE2.org is not responsible for delays in the delivery of course materials, such as books or online content, if these delays are caused by factors outside of their control, such as postal service issues or supplier delays.
  • No refunds are provided in these cases, meaning the client will not receive compensation if their materials arrive late, although PRINCE2.org will likely work to ensure the materials arrive as soon as possible.

7. Non-Attendance:

  • If a client does not attend the course without prior notification, this is considered a cancellation without notice. The full payment for the course is still due, regardless of the reason for non-attendance.
  • This strict policy applies to all delivery types (e.g., classroom, virtual, or e-learning), ensuring that the company is compensated for the resources allocated to the client, even if they don’t attend.

8. Course Suitability:

  • Clients are responsible for determining whether a course meets their needs and professional goals. While PRINCE2.org can offer recommendations, the final decision rests with the client.
  • This condition underscores the importance of due diligence on the part of the client before enrolling. If a client realizes the course is not suitable after starting, they may not be entitled to a refund.

9. Admission:

  • PRINCE2.org reserves the right to refuse admission to any individual deemed unsuitable for a course. This could be due to inappropriate behaviour, lack of necessary qualifications, or any reason that may affect the learning environment or disrupt the course.
  • The goal is to maintain a positive, professional learning atmosphere for all participants.

10. Onsite Training:

  • For private or onsite training sessions, the client is responsible for providing suitable facilities and equipment for the training. This could include providing a quiet room, computers, projectors, or other materials necessary for the training.
  • If these requirements are not met, it may disrupt the training and affect the quality of the learning experience.
